Research Use Agreement & Terms of Sale

These Research Use Agreement and Terms of Sale (“Terms”) govern purchases of products from VialBench Research LLC (“VialBench,” “we,” “us,” or “our”), including purchases made through VialBench.com.


By placing an order, you (“Purchaser,” “Buyer,” or “you”) acknowledge that you have read, understood, and agreed to these Terms. If you do not agree to these Terms, do not purchase or use our products.


1. Age Requirement


You represent and warrant that:


You are at least 18 years of age;


You have the legal capacity to enter into a binding agreement; and


You are legally permitted to purchase and possess the products ordered in your jurisdiction.



VialBench reserves the right to request reasonable verification of age or eligibility and to refuse or cancel an order when appropriate.


2. Research Use Only


Unless expressly stated otherwise, products sold by VialBench are supplied strictly for legitimate laboratory research, analytical testing, educational, scientific, in vitro, or other non-clinical research purposes where permitted by applicable law.


VIALBENCH PRODUCTS ARE NOT FOR HUMAN OR ANIMAL USE OR CONSUMPTION.


Products are not offered or intended for:


Human ingestion or administration;


Human injection;


Topical application to humans;


Veterinary administration or use;


Food or beverage use;


Dietary supplement use;


Drug use;


Cosmetic use;


Household use;


Compounding for human or veterinary use; or


Diagnosis, treatment, mitigation, cure, or prevention of any disease or medical condition.



Purchaser agrees not to use any product for a prohibited purpose.


3. Purchaser Qualification


By purchasing from VialBench, you represent and warrant that you possess, or are acting on behalf of an organization that possesses, the knowledge, training, facilities, equipment, procedures, and experience reasonably necessary to safely receive, store, handle, study, and dispose of the materials purchased.


The term “qualified researcher” as used by VialBench does not necessarily mean that a purchaser holds a particular professional license, academic degree, government certification, or institutional affiliation unless expressly stated.


Instead, Purchaser represents that Purchaser is competent to handle the particular research materials being ordered and will do so only in an appropriate research environment and in accordance with applicable requirements.


4. Purchaser Certification of Intended Use


By completing a purchase, Purchaser certifies that:


1. Products are being acquired solely for a lawful research or analytical purpose;



2. Products will not be administered to or consumed by any human or animal;



3. Products will not be used as a drug, food, dietary supplement, cosmetic, or veterinary product;



4. Products will not be compounded or prepared for human or veterinary administration;



5. Purchaser will comply with applicable federal, state, local, and other laws and regulations;



6. Purchaser has independently determined that the purchase, possession, and intended research use of the product is lawful; and



7. Purchaser will maintain appropriate laboratory handling, storage, security, and disposal procedures.




5. No Medical or Veterinary Use


VialBench does not sell its research products for medical, therapeutic, diagnostic, veterinary, bodybuilding, performance-enhancement, weight-management, or other personal-use purposes.


Products should not be purchased or used for self-experimentation.


A customer's intended personal use of a product is inconsistent with these Terms and may result in cancellation or refusal of an order.


6. No Medical Advice


Nothing appearing on VialBench.com or communicated by VialBench should be interpreted as medical or veterinary advice.


This includes, without limitation:


Product descriptions;


Research articles;


Research-library content;


Scientific references;


Certificates of Analysis;


Frequently Asked Questions;


Emails;


Social-media content; and


Customer-support communications.



Discussion of a compound's chemical properties, mechanisms investigated in published literature, or historical scientific research does not constitute a recommendation or instruction to use that compound in humans or animals.


VialBench personnel are not providing medical diagnosis, treatment recommendations, dosing instructions, or individualized medical advice.


7. No Dosage or Administration Instructions


VialBench research materials are not supplied with instructions for human or animal administration.


Purchaser agrees not to request or rely upon VialBench for:


Human dosing protocols;


Injection instructions;


Human reconstitution instructions;


Cycle recommendations;


Treatment protocols; or


Similar instructions concerning personal or veterinary use.



Any laboratory preparation information provided by VialBench must be interpreted solely within the context of legitimate laboratory research.


8. Product Information and Scientific Literature


Information concerning research compounds may summarize or reference published scientific literature.


Such information is provided for general scientific and educational purposes only.


A reference to a scientific publication, experimental pathway, receptor, biological mechanism, or non-clinical research finding does not constitute a representation that a VialBench product has been proven safe or effective for any medical purpose.


Purchasers should independently evaluate scientific literature relevant to their research.


9. Regulatory Status


Unless expressly identified otherwise, VialBench research products are not represented as FDA-approved drugs, foods, dietary supplements, cosmetics, medical devices, or veterinary products.


The designation “Research Use Only” does not itself determine the regulatory status of a product or authorize a transaction that would otherwise be prohibited by applicable law.


10. Legal and Regulatory Responsibility


Laws and regulations concerning research compounds may differ between jurisdictions and may change over time.


Purchaser is solely responsible for determining whether the acquisition, possession, importation, storage, handling, research use, transfer, or disposal of a particular product is permitted in Purchaser's jurisdiction and circumstances.


VialBench may restrict or refuse sales of particular products or to particular jurisdictions when it determines that doing so is appropriate for legal, regulatory, compliance, or risk-management reasons.


11. Product Handling


Purchaser assumes responsibility for appropriate laboratory practices when handling products.


Depending upon the material, appropriate precautions may include:


Laboratory personal protective equipment;


Controlled access;


Appropriate storage conditions;


Contamination prevention;


Accurate labeling;


Appropriate waste disposal; and


Procedures appropriate to the hazards and characteristics of the particular material.



Purchaser is responsible for reviewing available product documentation before handling a product.


12. Certificates of Analysis and Testing


Where provided, Certificates of Analysis (“COAs”) and laboratory results relate to the particular sample, lot, or batch identified in the applicable documentation.


Laboratory testing information should not be interpreted as demonstrating that a product is safe, effective, sterile, or appropriate for human or animal use unless the applicable test specifically establishes the characteristic in question.


A purity result, for example, is not equivalent to approval for human use.


13. Product Appearance and Research Materials


The appearance, consistency, color, or physical characteristics of research materials may vary between compounds or batches.


Product photographs are provided for identification and presentation purposes and should not be treated as an analytical specification unless expressly stated.


14. Storage


Purchaser is responsible for maintaining appropriate storage conditions after delivery.


Any storage recommendations provided by VialBench relate to preservation of research material and do not constitute instructions concerning human or veterinary use.


VialBench is not responsible for deterioration caused by improper storage or handling after delivery.


15. Order Acceptance


Submission of an order does not require VialBench to accept that order.


VialBench reserves the right to refuse, hold, or cancel an order when reasonably necessary, including when we believe:


Purchaser may be under 18;


Information supplied by Purchaser is inaccurate;


Fraud or payment abuse may be involved;


The intended use appears inconsistent with these Terms;


Purchaser requests instructions concerning human or animal use;


Shipping or possession may be restricted;


An item was incorrectly priced or listed; or


Fulfilling the transaction could create a legal, regulatory, or safety concern.



Where appropriate, amounts paid for a cancelled order will be refunded according to the applicable payment and refund policies.


16. Prohibited Purchasers and Uses


VialBench reserves the right to decline future business with purchasers who indicate that products are being acquired for prohibited purposes.


Statements suggesting intended ingestion, injection, dosing, self-experimentation, treatment, veterinary administration, or other prohibited use may result in an order being cancelled or the purchaser's account being restricted.


17. Resale and Transfer


Purchaser may not market or transfer VialBench research products for human or animal consumption, medical treatment, veterinary treatment, dietary supplementation, cosmetic use, or any other prohibited purpose.


Any permitted commercial resale or transfer must comply with applicable law, and the transferring party is responsible for ensuring that required labeling, restrictions, and regulatory obligations are satisfied.


VialBench makes no representation that a purchaser is legally authorized to redistribute any particular product.


18. Shipping and Delivery


Purchaser is responsible for providing an accurate shipping address.


Risk associated with incorrect addresses, inaccessible delivery locations, or failure to retrieve a delivered package may be borne by Purchaser to the extent permitted by applicable law and the applicable shipping policy.


Shipping availability does not constitute a representation that possession or use of a product is lawful in a particular jurisdiction.


19. Returns and Product Issues


Returns, replacements, damaged shipments, missing items, and related issues are governed by VialBench's posted Refund/Return and Shipping Policies.


Purchasers should promptly report damaged, incorrect, or missing products and retain packaging when reasonably necessary to document a claim.


Nothing in these Terms eliminates rights that cannot legally be waived under applicable consumer law.


20. Assumption of Responsibility


Purchaser acknowledges that laboratory research materials may require specialized knowledge and precautions.


Purchaser assumes responsibility for determining appropriate laboratory procedures and for risks resulting from Purchaser's handling, storage, experimentation, disposal, or unauthorized use of products.


Nothing in this section excludes liability that cannot lawfully be excluded.


21. Disclaimer of Warranties


To the maximum extent permitted by applicable law, products are supplied for their stated research purpose and without warranties regarding suitability for any unstated or prohibited application.


VialBench specifically makes no representation or warranty that a research product is safe or effective for human or animal use.


Any warranties that cannot legally be excluded remain unaffected.


22. Limitation of Liability


To the maximum extent permitted by applicable law, VialBench shall not be liable for damages resulting from misuse, prohibited use, improper storage, improper handling, unauthorized administration, modification, resale, or use inconsistent with product labeling or these Terms.


Nothing in these Terms limits liability where limitation is prohibited by applicable law.


23. Indemnification


To the extent permitted by applicable law, Purchaser agrees to indemnify and hold harmless VialBench Research LLC and its members, employees, contractors, and agents from third-party claims, losses, liabilities, or expenses arising from Purchaser's unlawful, prohibited, or unauthorized use, handling, resale, or transfer of products.


24. Electronic Agreement


Purchaser agrees that electronic acceptance of these Terms has the same effect as a handwritten agreement to the extent permitted by applicable law.


VialBench may retain records concerning acceptance, including:


Date and time;


Order number;


Terms version;


Account information;


Checkout/session information; and


Other transaction records reasonably necessary to document acceptance.



25. Changes to These Terms


VialBench may revise these Terms periodically.


The version presented or linked to Purchaser at the time an order is placed will govern that transaction unless applicable law requires otherwise.


The effective date appears at the beginning of this document.


26. Severability


If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain effective to the fullest extent permitted by law.


27. Governing Law


These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, except where applicable law requires otherwise.


Any forum-selection, arbitration, class-action-waiver, or similar dispute-resolution language should be contained in VialBench's general Terms of Service and reviewed by legal counsel before implementation.
